(b) ARLINGTON LAW OFFICE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE WEBSITE OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT PAID BY YOU TO ARLINGTON LAW OFFICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (ii) $100 USD.
(c) THE LIMITATIONS OF LIABILITY IN THIS SECTION 5.2 SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE STATE OF CALIFORNIA.

Termination and Suspension

8.2. Effects of Termination

8.3. Survival of Certain Provisions
The provisions of this Agreement that by their nature should survive termination or suspension, including but not limited to Sections 4.2 (Intellectual Property and Ownership), 4.3 (User-Generated Content), 5 (Disclaimers and Limitations of Liability), 6 (Data Privacy and Security), 7 (Indemnification), 9 (Governing Law and Dispute Resolution), and 10 (Miscellaneous Provisions), shall continue in full force and effect.
Governing Law and Dispute Resolution
This Agreement and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.
9.2. Dispute Resolution
(a) Any dispute, controversy, or claim arising out of or relating to this Agreement, including the formation, interpretation, breach, or termination thereof, including whether the claims asserted are arbitrable, shall be referred to and finally determined by arbitration in accordance with the rules of [Relevant Arbitration Organization].
(b) The arbitration shall be conducted by a panel of three (3) arbitrators, one selected by each party and the third selected by the two party-appointed arbitrators.
(c) The seat of the arbitration shall be in California.
(d) The language to be used in the arbitral proceedings shall be English.
(e) The arbitration award shall be final and binding upon the parties and may be entered and enforced in any court having jurisdiction.
(f) Each party shall bear its own costs and expenses (including attorney's fees) associated with the arbitration; provided, however, that the arbitrators may award costs and expenses to the prevailing party as part of the arbitration award.
(g) Notwithstanding the foregoing, either party may seek interim injunctive relief or other interim equitable remedies from any court of competent jurisdiction to protect its rights pending the outcome of the arbitration.
Miscellaneous Provisions
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable.
10.2. Waiver and Modification
(a) Arlington Law Office may modify this Agreement at any time by posting a revised version on the Website. Your continued use of the Website or the Services after such modification constitutes your acceptance of the revised Agreement.
(b) Arlington Law Office 's failure to exercise or enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
(c) No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.
10.3. Assignment
You may not assign or transfer this Agreement, by operation of law or otherwise, without Arlington Law Office 's prior written consent. Any attempt by you to assign or transfer this Agreement without such consent will be null and void. Arlington Law Office may freely assign or transfer this Agreement without restriction. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors, and permitted assigns.
10.4. Entire Agreement
This Agreement, including the Arlington Law Office Privacy Policy, constitutes the entire agreement between you and Arlington Law Office regarding the use of the Website and the Services, and supersedes any prior agreements or understandings, whether written or oral.
10.5. Notices
Any notices or other communications provided by Arlington Law Office under this Agreement, including those regarding modifications to this Agreement, will be given: (a) via email; or (b) by posting to the Website. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
10.6. Relationship of the Parties
Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Arlington Law Office.
10.7. Force Majeure
Arlington Law Office shall not be liable for any failure or delay in the performance of its obligations under this Agreement arising out of or caused, directly or indirectly, by circumstances beyond its reasonable control, including but not limited to acts of God, earthquakes, fires, floods, wars, civil or military disturbances, sabotage, epidemics, pandemics, riots, interruptions, loss or malfunctions of utilities, computer (hardware or software) or communications services, accidents, labor disputes, or acts of civil or military authority.
